Terms and Conditions

1. Introduction

By using AgentGraph Kit ("the Product"), you confirm your acceptance of, and agree to be bound by, these terms and conditions.

2. Agreement to Terms and Conditions

This Agreement takes effect on the date on which you first purchase or use the AgentGraph Kit codebase.

3. Software License & Usage Rights

Upon purchase, you are granted a perpetual, non-exclusive, non-transferable license to use the AgentGraph Kit source code to build unlimited applications, SaaS products, or internal tools for yourself or your clients.

The licensor retains the right to terminate the license if these terms are violated, specifically regarding the unauthorized resale or redistribution of the source code.

4. Refunds

Due to the nature of digital products (access to open source code), AgentGraph Kit cannot be refunded or exchanged once access to the repository is granted. All sales are final.

5. Disclaimer & AI Limitations

It is not warranted that AgentGraph Kit will meet your requirements or that its operation will be uninterrupted or error-free.

Specific to AI:

You acknowledge that this Product relies on third-party Large Language Models (LLMs) and APIs (e.g., OpenAI, Anthropic). AgentGraph Kit is not responsible for:

• AI Hallucinations: Inaccurate, offensive, or unpredictable outputs generated by the AI models.
• Third-Party Costs: Any costs incurred by your use of third-party APIs (e.g., OpenAI usage fees). You are solely responsible for managing your own API keys and usage limits.

All express and implied warranties or conditions not stated in this Agreement (including without limitation, loss of profits, loss or corruption of data, business interruption or loss of contracts), so far as such exclusion or disclaimer is permitted under the applicable law are excluded and expressly disclaimed.

6. Warranties and Limitation of Liability

AgentGraph Kit does not give any warranty, guarantee or other term as to the quality, fitness for purpose or otherwise of the software. AgentGraph Kit shall not be liable to you by reason of any representation (unless fraudulent), or any implied warranty, condition or other term, or any duty at common law, for any loss of profit or any indirect, special or consequential loss, damage, costs, expenses or other claims (whether caused by AgentGraph Kit's negligence or the negligence of its servants or agents or otherwise) which arise out of or in connection with the provision of any goods or services by AgentGraph Kit.

Notwithstanding contrary clauses in this Agreement, in the event that AgentGraph Kit is deemed liable to you for breach of this Agreement, you agree that AgentGraph Kit's liability is limited to the amount actually paid by you for the Product.

7. Responsibilities

AgentGraph Kit is not responsible for what you or your end-users do with the applications built using this boilerplate. You are solely responsible for ensuring your AI agents comply with local laws and ethical guidelines regarding AI usage.

8. Price Adjustments

As we continue to improve AgentGraph Kit and expand our offerings (e.g., new agent architectures, integrations), the price may increase. The discount/early-bird pricing is provided to help customers secure the current price without being surprised by future increases.

9. General Terms and Law

This Agreement is governed by the laws of Colombia. You acknowledge that no joint venture, partnership, employment, or agency relationship exists between you and AgentGraph Kit as a result of your use of these services. You agree not to hold yourself out as a representative, agent or employee of AgentGraph Kit.
