AgentGraph Kit License Agreement

TL;DR — Standard License

Build unlimited AI agents, SaaS products, and internal tools for yourself or your clients. You own what you build. You cannot resell this code as a boilerplate.

This License Agreement ("Agreement") is entered into between AgentGraph Kit, whose contact information is hello@agentgraphkit.com, and you, the user ("Licensee"), regarding the use of the AgentGraph Kit coding boilerplate (the "Product") available at https://agentgraphkit.com/ (the "Website"). By downloading, accessing, or using the Product, Licensee agrees to be bound by the terms and conditions of this Agreement.

1. Grant of License

1.1 Standard Commercial License

Subject to the terms and conditions of this Agreement, AgentGraph Kit grants Licensee a non-exclusive, non-transferable, and non-sublicensable Standard Commercial License to use the AgentGraph Kit coding boilerplate for the following purposes:

  • Unlimited Projects: Create unlimited applications, AI agents, or websites.
  • Commercial Use: Build and develop applications for personal use, commercial SaaS products, or client projects.
  • Team Access: You may share the source code with other members of your direct team or employees working on the same project for which the Licensee is responsible.

2. Restrictions

Licensee shall not:

  • Resell or Redistribute: Resell, redistribute, or share the AgentGraph Kit source code as a standalone product, boilerplate, template, or "starter kit".
  • Competing Product: Use the source code to create a directly competing product that sells the code itself rather than a functional application.
  • Open Source: Publish the source code in a public repository (e.g., public GitHub repo) where it can be accessed for free by others.
  • IP Removal: Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the AgentGraph Kit boilerplate.
  • Illegal Use: Use the AgentGraph Kit boilerplate in any way that violates applicable laws, regulations, or third-party rights.

3. Ownership and Intellectual Property

AgentGraph Kit retains all ownership and intellectual property rights in and to the AgentGraph Kit boilerplate source code. This Agreement does not grant Licensee any ownership rights in the boilerplate itself, but Licensee retains full ownership of the applications, agents, and unique products they build using the boilerplate.

4. Warranty and Disclaimer

THE AGENTGRAPH KIT BOILERPLATE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTGRAPH KIT SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE AGENTGRAPH KIT BOILERPLATE, EVEN IF AGENTGRAPH KIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Colombia, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Colombia.

7. Entire Agreement

This Agreement constitutes the entire agreement between Licensee and AgentGraph Kit concerning the subject matter herein and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings.
